By accessing and using this website (www.apsispoint.com) and any services provided by Apsispoint™, LLC ("Apsispoint™," "we," "us," or "our"), you accept and agree to be bound by these terms. If you do not agree, please do not use this service. These Terms apply to all visitors, users, and others who access or use our services, including our Managed Detection and Response (MDR) services, incident response services, and the Apsispoint™ platform.

2. Services Description

Apsispoint™ provides cybersecurity services including but not limited to:

• 24/7 Managed Detection and Response (MDR) services
• Managed Extended Detection and Response for Microsoft Defender XDR
• Incident Response and emergency breach response
• Cloud security monitoring and protection
• Vulnerability assessments and penetration testing
• Security consulting and compliance services
• Access to the Apsispoint™ security platform

3. Account Registration and Security

To access certain services you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches
• Take responsibility for all activities that occur under your account

4. Use Restrictions

You agree not to use our services to:

• ✕Violate any local, state, national, or international law or regulation
• ✕Transmit any material that is unlawful, harmful, threatening, or abusive
• ✕Impersonate any person or entity or falsely state your affiliation
• ✕Interfere with or disrupt the services or servers or networks
• ✕Attempt unauthorized access to any portion of the services
• ✕Use automated means to access the services without permission
• ✕Introduce viruses, trojan horses, worms, or other harmful material
• ✕Reverse engineer, decompile, or disassemble our services

5. Intellectual Property Rights

The services and their original content, features, and functionality are and will remain the exclusive property of Apsispoint™ and its licensors, protected by copyright, trademark, and other applicable laws. All threat intelligence, security reports, and analysis provided through our services remain our intellectual property unless otherwise specified in a separate agreement.

6. Confidentiality

Given the sensitive nature of cybersecurity services, both parties agree to maintain strict confidentiality regarding security vulnerabilities, configurations, threat intelligence, and any non-public information shared during service provision. This obligation survives termination of these terms.

7. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these terms by reference.

8. Service Level Agreement

Specific SLAs including response times, availability guarantees, and escalation procedures are defined in separate service agreements. Our standard emergency response SLA includes 15-minute initial response for critical incidents, 24/7/365 SOC availability, and defined escalation procedures for various incident severities.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. APSISPOINT™ EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive to provide the highest quality cybersecurity services, we cannot guarantee that our services will prevent all security incidents or breaches. Cybersecurity is a shared responsibility.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APSISPOINT™, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

In no event shall our aggregate liability exceed the greater of one hundred dollars or the amount you have paid us in the twelve months prior to the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Apsispoint™ and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees), resulting from your use of the services or a breach of these Terms.

12. Termination

We may terminate or suspend your account and bar access to the services immediately, without prior notice or liability, for any reason including breach of these Terms. Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive termination will do so, including ownership, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Maryland and the United States of America, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect.
